An excellent introduction to a complex subject..Recommended.
Provides a clearly written, useful guideline to understanding and managing the dynamics of joint ventures. The four key areas of strategy, structure, culture and human resources are addressed, along with a special section on negotiation tactics deployed in establishing joint ventures. In addition, the importance of sensemaking, trust, and commitment are highlighted. Cases are used to illustrate key points. Questions for discussion close each chapter. References are given. Keeper
Yet another fine book out of the HBS stable. Badarraco uses case study and analysis to offer another study on the importance of knowledge in the business landscape. There have long been corporate interdepencies--product, service, etc--and in this information age knowledge sharing and alliances will increasingly be the lifeblood of companies. Companies must sustain and build upon their competitive advantages--read this book to find yet another way.

This book is for lawyers, not for engineers!!!!
This is an awesome book for those who want to understand mining agreements, their purpose and functionality. It gives you a broad knowledge about political and legal issues related to each contract scheme. As a tax practitioner, I've been able to understand the reasons beyond the mere political issues related to mining taxation.

The Partnering Imperative makes sense of Business Developmen
As a line manager responsible for a small software company's business development activities, what I like the most about The Partnering Imperative is that it helps me decide with what potential partners I should be persistent, and where it is best to be responsive to offers but guarded with resources. Like any small company, we need to focus to be successful. The Partnering Imperative is helping me decide what large companies our small company should partner with and also helping us predict the success that our partnering efforts will have. For our small software company, our partnerships will make the difference between our being a success that people will read about or another software company that had a great product but just could not break the $50 million in sales mark.

For the large equipment vendors who have to partner to "avoid the negative" of not working with small nibble companies who can fill in gaps in functionality, there is tremendous value in this book as a guide for avoiding the pitfalls of partnership between large and small entities. These are the situations where the larger partner often tries to manage away the risks presented by the differences between it, the larger partner, and its chaotic but essential smaller partner. In these partnerships, the larger organization is busy managing formal communications processes and preparing to walk away at the slightest hint of failure. If big and small companies can be aware of these tendencies from the start, they are more likely to stick it out and reach partnering pay-off.

For smaller companies who need to partner to gain access to distribution channels and installed bases of customers, The Partnering Imperative provides a pragmatic guide to dancing with the "elephants" that small companies must work with. The Best
First, I have a hard time believing this treatise is really out of print. Substantively, this is by far the best international tax treatise available on the market. It is transactionally oriented and contains very sophisticated analysis. The only downside is that less experienced practictioners may miss some of the subtle nuances that Kevin includes in his analysis.

Extremely relevant book for business in Japan
Most books on doing business in Japan have covered cultural issues. There are very few books that address the technical aspects of doing business in Japan as the author does in this publication.

This is only book that I've located that provides concrete guidance on: 1. Corporate Law: e.g., incorporation law, capitalization requirement 2. Labor Law: e.g., employee compensation rules, etc. 3. Taxation

If you are planning to do business Japan, please get the books on cultural differences. But you must also get this book to actually do business and accomplish tangible objectives.

With this compendium, Wolf furnishes the necessary technical details for any lawyer involved in joint ventures, giving the precise orientations to fullfill this task with success.

A comprehensive, well-organized useful tool for lawyers.
This book was a pleasant surprise. It is both comprehensive and well organized and can be a useful tool regardless of the level of knowledge or experience that the practitioner might bring to it. Mr. Wolf has presented us with theory that is in service to the practical tasks that we, as lawyers, undertake when advising international joint venture clients.

readable, practical in approach, an excellent guide
Dr. Wolf's book is a welcome addition to the library of any law firm or person involved in international joint ventures. Dr. Wolf's well-structured book contains practical advice at oen level/dimension or another. For junior lawyers,the book is a detailed introduction to the area of international joint ventures and the issues associated with it. For senior lawyers, it is useful because it serves as a good checklist and reminder of the difficult or contentious issues.

Good summary
The book covers the accounting, legal, tax and financing aspect of international merger and acquisition activities. There are 15 chapters, with each chapter contributed by different author. The continuity is not good. The lack of real world M&A cases is the major drawback of this book. At the graduate level, the book is still useful as a checklist.

excellent overview
This is an excellent resource with helpful checklists and quick overviews on points to considering when structuring an international deal. Chapters on legal aspects of international joint ventures (Robert F. Ebin) and International Project Finance (Scott L. Hoffman) are top-notch. I highly recommend this to anyone "doing the deal."

Very Useful.
A very useful companion to the main text. Provides a substantial amount of additional material, such as Q&A on the text, Q&A on real-life examples of mergers and acquisitions, sample forms, checklists, and an additional reading list. I highly recommend it.

The age of alliances
In the past 10 years we have seen a tremendous amount of joint ventures, mergers and aquisitions and the future seems to be on the same keel. Strategic Alliances offers a framework to increase the opportunity for success as one ventures into new ground.

If your desire is to one day be a CEO, president, divisional manager or you work on projects regularly, this is a great purchase and a great resource.

Reading is a little dry and in some parts seems like a textbook.

Gives a good overview of alliances
This book does a good job in introducing a systematic approach to various types of co-operations between organisations, an to develop a theory around the different forms of alliances.

I found the text to be a bit academic and dry, and its' examples seem a bit outdated in many cases. However, case material related to strategic alliances can be found in the newspapers every day.....

Encounting new culture
You start the business in South Korea but you don¡¯t know how to discuss the contract with your Korean partner? You are a foreigner working for a Korean company and don¡¯t know how to get along with your new colleagues? Then this is a book for you. The author, Eun Young Kim, is of Korean origin recently working in a cross-cultural consulting company in Texas. Using both her domestic and international experience she is just the right persone to eximine the problems connected with cross-cultural intercourse.
The book consists of 3 main parts.
The first part introduces the country, provides basic information on Korean political and economical situation. It presents Korean culture, while paying a special attention to traditional values of Korean society, sex and family roles, food and leisure habits, and its evolution in the changing society.
The second and third parts deals essentially with doing business in Korea. What is particulary nice about this book is that it not simply depict the problem, indeed, it is full of useful tips. For example, in the chapter 6 "Working through the Korean System" the author talks about different perceptions of contract that exist in Korean and American business cultures. But she also provides the reader with advice on prevention of possible problems while discussing the terms and conditions of the agreement.
The book is well written and the organization of paper makes the reading smooth and pleasant. It can be used as a reference book for businessmen or a interesting reading for all foreigners planning to stay in the Republic of Korea.
A few generalisations and sometimes vague statements are minor shortcomings of this book. The historical part requires some basic knowledge of Korean history, so if used as a text book it would be reasonal to use additional resources.
The complete and conclusive research of a society as quickly changing as Korean is very unlikely to be ever published. However this book can be a reliable source of information and of a great help for everyone interested in encounting Korean culture.
