The process for creating such a board is the focus of The Strategic Board. In Light's view, the ideal board builds its agenda around the creation and implementation of a governance plan consisting of four sub-plans:
1. a leadership plan, articulating vision, mission, strategies, critical issues (he calls these "imperatives"), and success indicators;
2. a delegation plan, defining the responsibilities and performance standards of the board (including its members, officers, and committees) and executive director;
3. a twelve-month management plan for the board and for each functional area of the organization stating annual objectives, challenges to be addressed, and budget;
4. a "vigilance plan," that serves as a monitoring schedule and provides the main agenda items the board's meetings for the coming year.
The book includes examples of each type of plan, drawn from the theatre company where the author serves as executive director and from a Big Brothers/Big Sisters organization. The examples are very helpful in following the logic of each planning process.
In an interesting introduction, Light suggests that any effort to improve nonprofit governance must take into account seven realities of nonprofit organizations:
1. part-time
volunteer directors are able to give only limited time to the tasks of governance;
2. boards operate with something
less than perfect knowledge, creating a dilemma for the both the board and executive director as they must each be both servant
and leader to the other;
3. boards tend to be fairly large, making decision-making a lengthy and complicated process;
4. for many boards, the skills, knowledge, and attitudes required for effective governance are not seen as a prerequisite for recruitment;
5. there are few consequences for poor performance, and little recognition for excellent board performance;
6.
consistency and continuity are problems for many boards from year-to-year and even from meeting-to-meeting due to poor attendance
and turnover of members and officers;
7. nonprofit organizations are led by relatively inexperienced executive directors.

The author draws upon a number of sources in nonprofit literature to support his thesis, making the endnotes a useful link to follow-up reading. He also sprinkles the text with the wisdom of motivational writers and speakers. This will be enjoyed by readers who are inspired by such writing. Personally, I think these oversimplified inspirational messages detract from the otherwise strong and thoughtful text.
Overall, there is much in this book to stimulate creative thinking. The concepts are well-explained and illustrated with good examples. On the negative side, it suffers from too much jargon (e.g. "high-impact governance") and like so many "how-to" books, tends to underestimate the time and effort necessary to transform intentions into action. Still, it is a serious and thoughtful effort to build boards capable of the leadership needed by strong and effective organizations. Most executive directors and board members will find some new and challenging ideas to consider.

A sobering, realistic view of family business succession planningReview Date: 2008-11-29
The fact is, many company founders are self absorbed, narcissistic, and cling onto power as if it's the only thing they have in life (which for a lot of them is true). It is natural for these sorts of people to avoid assessing their own mental abilities in the context of aging realistically.
If you are in the position of being a child of one of these people, you may have an insoluble problem on your hands if you think your future consists of inheriting the business and fixing all the things that will no doubt be wrong with it if your parent is one of these types of company founders, no matter how brilliant you are.
I have yet to see a book targeted at this demographic, but at least this book points out fairly numerous examples of where this scenario ends in tragedy and unhappiness. There can be a large time interval between incompetence through the start of dementia until death.
For you to successfully take over the business, the owner must not have destroyed it through incompetence. This is quite an achievement, considering that changing market circumstances may require drastic action that is viewed as rash by the no-longer competent founder. Consider also that the controlling owner will be a target of swarms of con artists including those who would sell shares in failed businesses, some company managers, and banks, who would of course never make predictions that would allow them to make more money at the expense of your business.
If the business is not destroyed through incompetence, do you have any written and witnessed evidence that it will actually be willed to you? Consider that you will naturally have the best interest of the business at heart, and oppose its downward slide. You will probably be the lone voice in a wilderness of crooks, and it will place you at odds with your parent, a parent who probably is not in the habit of listening to anyone unless they agree with him, least of all someone he remembers looking at from above a change table.
If you are to be heard, be prepared for some very heated arguments. The insult of you being right will be added to the injury of the argument. Cumulatively, this may be enough to get you disinherited.
If somehow you made it over those two hurdles, what chance is there that a demented father is going to be willing or capable of best practice succession planning? You may be placed in a position where you are not able to outvote selfish, untrustworthy and or incompetent siblings, or your inheritance may be held in trust (and are they actually trustworthy or interested in growing the business like you are)?
These are real, significant risks, and you would be wise to consider them so that you are not blinded by the lure of wealth that the controlling owner is happy to promise. For that reason, chapter 11, "Letting Go", alone is worth the cover price. Aside from Ward, this is the only book on family business succession planning I have read. However, he is correct in saying that Ward, although mostly realistic, is overly optimistic (on page 96). If he is also correct in saying that other authors are even more optimistic, then this is definitely the book to read first if you want to save yourself some pain and heartache.
The rest of the book is a good treatment of family business succession planning.

The stories are, as a whole, optimistic but also bracingly honest about the obstacles these remarkable professionals have faced. It will inspire the young to believe that their goals are attainable. It will encourage those in mid-career to see that their progress, though uneven, is sustainable. And it will reassure those looking back at the end of their careers that their life's work has been significant if it has made it possible for even one or two others to achieve behind them. I read about one of these stories a day in the gym and frequently caught myself nodding in recognition at the experiences described.
The last profile in the book is of Deborah C. Wright, President and CEO of Carver Federal Savings Bank. The very last line in her profile,and thus the very last line in the book, is "[M]y prayers each morning are, 'God, just make me open to whatever the lesson is so I can get it and get on to the next one.'" AMEN!

The queen of Tween Land has four daughters. The name of Tweenland is a play on words because a tween is somewhere between being a child and being an adult. The princesses were all born just hours apart and they all are different from each other. They have definite characteristics unique to them. Winter has hair the color of snow and blue wings. Spring is a lover of life and she has red wings. Summer has the coloring of a sunflower and eyes colored like grass. Fall is the youngest with orange hair and brown eyes. Each of the sisters thought they should be in control. But when you have 4 fairies all wanting to be the boss, disharmony will result. This book talks about harmony and working together.
I really liked the brightly colored pages and facial expressions on the girls' faces. Sammy Shu has a way of describing their personalities and strengths. Cari Cone's illustrations really bring the text to life. "There's a Season for All" is a beautiful book both in its storyline and pictures.

First, this book contains a number of business planning documents, ranging from general partnership agreements to board meeting minutes to corporate bylaws. More importantly, this book recognizes the growing trend across the country to provide clients with easily readable and understandable documents that are actually written in plain English and not the traditional "legalese" that has bogged legal documents for centuries. While I ultimately had to tailor my projects to the particular state and its law, I used several of these documents as a starting point for class projects this term. As a result, I never felt "in the dark" when organizing or drafting any of my projects because everything I needed to know was right there in the book.
Second, in addition to providing the legal forms, this book does an excellent job of explaining the different types of business organizations, how a person forms and operates these organizations, and the advantages and disadvantages of each. Many students in law school take a general business organizations course, but this book does an excellent job of explaining each to the layperson who may or may not be familiar with the types of entities and their nuances. But both the student and layperson can benefit from the "insider tips" that divulge secrets of the business law trade, which can only be learned through years of experience.
Finally, the last section of this book provides state reference tables that gives detailed summaries of the law for each of the fifty (50) states and the District of Columbia.
In conclusion, I have been scanning the book shelves of my local book stores for a comprehensive, but easy to read, book on drafting legal business planning documents that didn't break the bank, and now I finally found it with Mr. Spadaccini's book. Not since reading the DaVinci Code have I recommended a book so often to my friends and colleagues at school. While not as thrilling as the Code, it is definitely an invaluable resource for the student, the experienced practitioner, and the layperson looking for assistance when forming a business.
